◦ No attorney-client relationship is established

◦ Clinical decisions remain the responsibility of licensed providers and organizations

You agree to consult your own professionals before making decisions.


4. Booking & Payment Terms

Speaking & Consulting Engagements

◦ Engagements require a signed agreement or Statement of Work (SOW)

◦ A non-refundable deposit (typically 25–50%) is required to secure dates

◦ Full payment terms will be outlined in the agreement

Digital Products & Programs

◦ Payment is due at the time of purchase

◦ Access is granted upon payment confirmation


5. Cancellation & Rescheduling Policy

Client-Initiated Changes

◦ 30+ days notice: Eligible for rescheduling

◦ 14–29 days: Partial credit may be applied

◦ <14 days: Fees may be forfeited

Company-Initiated Changes

KOE Medical Consulting, Inc. reserves the right to reschedule due to unforeseen circumstances. Reasonable efforts will be made to provide alternative dates.


6. Intellectual Property Rights

7. Recordings & Likeness

If services include speaking, webinars, or presentations:

◦ The Company may record sessions for internal or agreed-upon use

◦ KOE Medical Consulting retains ownership of name, likeness, voice, and professional identity

◦ Any external use (marketing, resale, promotion) requires prior written consent

◦ Additional compensation may apply for extended usage


8. Confidentiality

Both parties agree to maintain confidentiality regarding:

This obligation survives termination of services.


9. HIPAA & Data Compliance

For healthcare-related engagements:

◦ Clients are responsible for maintaining compliance with Health Insurance Portability and Accountability Act

◦ KOE Medical Consulting does not assume responsibility for Protected Health Information (PHI) unless explicitly stated in a signed agreement

◦ Any data shared must comply with applicable laws and regulations


10. Limitation of Liability

To the fullest extent permitted by law:

KOE Medical Consulting, Inc. shall not be liable for:

◦ Indirect or consequential damages

◦ Business losses or revenue impact

◦ Clinical or operational decisions made by clients

Total liability shall not exceed the amount paid for services.


11. Indemnification
